Green light for acquisition Dutch retail chains by Orlando Capital

The Authority for Consumers & Markets (ACM) has officially approved the takeover of Homefashion TopCo B.V. by the German investment firm Orlando Capital. This paves the way for the new owner to gain full control of the well-known retail chains Kwantum and Leen Bakker.

The notification of the proposed concentration was filed with the regulator on 24 February 2026. After reviewing the case, the ACM concluded that a license for the transaction is not required. According to the authority, sufficient competition will remain in the Dutch home furnishings market after the acquisition, and competition will not be significantly impeded.

Investment giant at the helm
Orlando Capital (OC V), a German private equity firm, thereby acquires sole control of the parent company of the two retail giants. Orlando is known for investing across various sectors, but with the acquisition of Homefashion TopCo, the company significantly strengthens its position in the European retail market.

With this acquisition, two of the largest players in the low-priced segment of the home furnishings sector now fall permanently under German ownership:

-Kwantum: Specialist in window coverings, flooring, wall products, and home accessories, with a strong network of physical stores and webshops in the Netherlands and Belgium.
-Leen Bakker: An established retail brand for furniture, lighting, and window products, also active in the Dutch-Belgian market.

Strategic consequences
For the sector, this decision signals that consolidation in home retail continues. The ACM sees no reason to intervene, as market share and industry dynamics remain healthy despite the size of both chains. For the day-to-day operations of Kwantum and Leen Bakker, little is expected to change in the short term, although the arrival of Orlando Capital often opens the door to new investments and an accelerated digital transition.

The ACM's decision is final, although interested parties can still appeal to the Rotterdam District Court within six weeks.
